Data room instructions for buyers: a one-page guide to send with the first invite

Published November 6, 2026

Key points

  • Send a one-page instructions document with the first data room invite, and pin it at the top of the room.
  • Cover five things: how to log in, how the room is organized, how to ask questions, the rules of use, and who to contact.
  • State the rules plainly: confidentiality, watermarks, download limits, no contact with employees, Q&A deadlines.
  • Keep it short. Bidders read one page; they skip ten.
  • Update it when the process moves to a new phase, such as a second round or a Q&A cut-off.

The first hour a bidder spends in a data room sets the tone. If they cannot log in, cannot find the index or do not know how to ask a question, they email the sell-side adviser, and so does every other bidder. A short instructions document, sometimes called data room rules or a user guide, prevents most of that.

It also protects the seller. Written rules about confidentiality, contact with management and use of documents give the seller something to point to if a bidder oversteps.

A template outline

Use this as the skeleton for your own one-pager:

  1. Welcome and purpose. One sentence on the project and the phase.
  2. Logging in. Accept the email invite, set a password, set up 2-step verification. Use your own account; do not share logins.
  3. Finding documents. Folders are numbered to match the index (download it from the top folder). New documents are flagged and listed in the “Recent uploads” view.
  4. Asking questions. Use the Q&A module. One question per entry, linked to the relevant document where possible. Choose a category. Responses usually within two business days. Q&A closes on the date below.
  5. Rules of use. Documents are confidential under your NDA. Pages are watermarked with your name. Downloads are limited. Do not contact the company’s employees, customers or suppliers. Do not share access.
  6. Key dates. Indicative bids due, management presentations, Q&A cut-off.
  7. Contacts. Access problems: name, email. Process questions: name, email.
Pin it, do not just email it

Put the instructions in folder 00 at the top of the room as well as in the invite email. People lose emails; the folder is always there.
