AI features in a virtual data room, explained

Published October 12, 2026

Key points

  • 4 of the 11 providers on this site list native AI features in their public documentation.
  • AI in a data room usually means indexing, document search and Q&A drafting help, not a replacement for legal review.
  • Ask a vendor what model powers the feature and whether your documents train it; the answer should be in writing.
  • Our technology score weights AI heavily, but it also counts a public API, SSO, e-signing and a mobile app.

“AI-powered” shows up on most data room marketing pages now, and it covers a wide range of actual capability, from genuinely useful document search to a chatbot bolted onto a file browser. This guide breaks down what the feature usually means, which of the 11 providers on this site list it, and what to ask before you take a vendor’s claim at face value.

What does “AI” actually mean in a data room?

Three capabilities show up most often, in roughly this order of maturity:

  • Auto-indexing. The room reads uploaded files and suggests a folder and numbering structure, instead of an admin doing it by hand.
  • Document search and summarisation. A reviewer can ask a question in plain language and get pointed to the relevant document, or a short summary of a long contract.
  • Q&A drafting assistance. The system suggests an answer to a buyer’s question based on the documents already in the room, for a human to review and approve before it is published.

Technology score, top 8 providers

Datasite 7.5
Ansarada 6.5
Ellty 6.0
Drooms 5.0
iDeals 4.0
Intralinks 2.5
ShareVault 2.5
Firmex 1.0

The technology score combines native AI features with a public API, SSO, e-signing and a mobile app; darker bars list AI features natively. See /selection-criteria for the full formula.

Which providers list AI features?

4 of the 11 list native AI assistance in their public documentation: Ellty, Datasite, Ansarada, Drooms. That does not mean the other rooms are behind on everything, a strong result on features or security can matter more for a given deal than AI tooling does; it is one of five weighted criteria, not the whole score.

What should you ask a vendor about an AI feature?

Before you rely on an AI claim

  • Ask what the feature actually does on a specific file type you use (PDF scans, spreadsheets, contracts).
  • Ask whether your uploaded documents are used to train any model, and get the answer in writing.
  • Ask who reviews an AI-drafted Q&A answer before it is published to a buyer.
  • Ask for a reference customer who has used the feature on a deal similar in size to yours.
A feature list is not a test result

Nothing on this page is based on us running these features ourselves; it reflects what each vendor publishes. Confirm current behaviour directly with the vendor before relying on an AI feature for a live deal.

Does AI replace a human reviewer?

No. Every provider we looked at positions AI as assistance, not a replacement for legal or financial review. The practical value is speed: less time spent locating the right document or drafting a first answer, with a human still approving what gets published to the other side of the deal.

Is AI worth paying extra for?

That depends on how much document volume you are dealing with. For a small room with fifty files, AI search saves you a few minutes here and there, not much more. For a large room with thousands of documents and a buyer group firing off dozens of questions a day, AI-assisted indexing and a first-pass Q&A draft can genuinely save a reviewer hours a week. If your deal is on the smaller side, it is a nice-to-have, not a reason to pick one room over another.

AI and the rest of the technology score

4/11 list native AI assistance
1/11 have a developer API
5/11 support single sign-on
1/11 have e-signing built in

AI is one of five inputs to the technology score; a room can score well here without AI if it covers the others.

Frequently asked questions

Is AI indexing accurate enough to skip manual folder review?

Treat it as a first pass. Spot-check the suggested structure against your own due-diligence checklist before guests are invited.

Does an AI Q&A draft need to be reviewed before it is sent?

Yes, every vendor we reviewed positions this as a draft for a human to approve, not an auto-send feature.

Do AI features cost extra?

This varies by vendor and is not always published; ask directly whether AI tooling is included in the base plan or billed separately.

Which of the 11 has the strongest AI tooling?

Based on our technology score, which weighs AI alongside API, SSO, e-signing and a mobile app, Ellty and Ansarada score highest; see each one’s review for the full breakdown.
